1. DEFINITIONS
Term | Definition |

Account | A secure user profile created by the Customer in the Alp‑Pay System, used to configure, manage, and monitor payment processing services. |
Agreement | The contractual arrangement between the Customer and Alp‑Pay, comprising these Terms & Conditions and the registration form completed upon creating a Personal Area within the Alp‑Pay System. |
Alternative Payment Method ("APM") | Any non-card payment solution supported by Alp‑Pay, including mobile payments, e-wallets, and similar methods. |
Business Day | A day, excluding Saturdays, Sundays, and recognized UK public holidays, on which Alp‑Pay operates and provides its services. |
Card | A bank-issued payment card such as Visa, MasterCard, Visa Electron, or Maestro, used for transactions. |
Commission Fee | The service fee applied by Alp‑Pay for processing a Payment Transaction or any related service. |
Customer | A legal entity or individual registered with Alp‑Pay who owns and operates an Account. |
Services | Technical and support-related services provided by Alp‑Pay under this agreement to enable payment routing, transaction monitoring, and integrations with licensed financial institutions. |
2. ENTIRE AGREEMENT
2.1 Binding Agreement
These Terms and Conditions together with the registration form completed by the Customer during the setup of a Personal Area form the complete and binding legal agreement between the Customer and Alp‑Pay.
2.2 Service Activation
These Terms become legally binding once the Customer:
- Registers in the System;
- Opens an Account; or
- Starts using any of Alp‑Pay's Services.
2.3 Important Disclaimers
The Customer acknowledges and agrees:
- Alp‑Pay is not a licensed credit institution (bank), and any Account created is not a bank account.
- Alp‑Pay does not act as a trustee, fiduciary, or escrow agent in relation to any funds held.
- Alp‑Pay does not store, hold, or process client funds directly. All financial settlements are facilitated through third-party licensed financial institutions.
- Alp‑Pay acts solely as a technical gateway, enabling Customers to connect to licensed acquiring banks and payment service providers.
3. PERSONAL AREA AND REGISTRATION
3.1 Eligibility Requirements
To be eligible for registration and continued use of the Services, the Customer must:
- Be at least 18 years old or legally capable in their jurisdiction;
- Be an individual or the authorized representative of a legal entity;
- Provide complete, accurate, and truthful information.
3.2 Required Documentation
Alp‑Pay may request the following documentation:
- Identity documents (e.g., passport, national ID);
- Proof of address or corporate documentation;
- Details of shareholders and beneficial owners;
- Notarized or translated copies where applicable.
4. CUSTOMER IDENTIFICATION (KYC/AML)
Alp‑Pay follows a strict verification process to ensure compliance with anti-money laundering (AML), counter-terrorist financing (CTF), and know-your-customer (KYC) regulations.
4.1 Verification Process
All Customers are required to undergo identity verification prior to activating or continuing the use of Alp‑Pay Services. This may include:
- Video verification or live authentication checks;
- Source of funds or source of wealth declarations;
- Additional corporate records, contracts, or invoices;
- Approval by Alp‑Pay's compliance department prior to activation.
5. SERVICES PROVIDED
5.1 Technical Gateway Services
Alp‑Pay provides Customers with a technical gateway that facilitates the initiation, routing, and monitoring of electronic payment transactions through integrated connections to licensed acquiring banks and financial service providers.
5.2 Scope of Services
The Services offered by Alp‑Pay may include:
- Access to a secure Personal Area to manage account settings and monitor payment activity;
- Technical APIs and hosted solutions for initiating card payments and alternative payment methods (APMs);
- Generation of dynamic payment links, checkout pages, and integration modules;
- Real-time transaction analytics, filtering, and dashboard tools;
- Anti-fraud logic and customizable rule sets to improve transaction security;
- Customer onboarding and support services.
6. FEES AND PAYMENT TERMS
6.1 Fee Structure
Alp‑Pay applies fees for the use of its technical Services as outlined in the individual commercial agreement or pricing schedule provided to the Customer. Fees may include setup charges, monthly service access, per-transaction routing fees, or custom integration costs.
6.2 Fee Modifications
Alp‑Pay reserves the right to revise its fees at any time, with at least 14 (fourteen) calendar days' prior notice via email or the Personal Area.
7. TERMINATION
7.1 Termination by Customer
The Customer may terminate this Agreement at any time by providing at least 15 (fifteen) calendar days' written notice to Alp‑Pay via email or through the Personal Area.
7.2 Termination by Alp‑Pay
Alp‑Pay reserves the right to suspend or terminate Services immediately and without notice in the following cases:
- Violation of these Terms or applicable laws;
- Engaging in prohibited, high-risk, or illegal business activities;
- Failure to provide required identification or verification documents;
- Misuse of the Alp‑Pay platform;
- Payment default or excessive chargebacks.
8. LIABILITY & LIMITATION OF WARRANTY
8.1 Disclaimer of Warranties
Alp‑Pay provides all Services "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
8.2 Limitation of Liability
Alp‑Pay's total cumulative liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the total Fees paid by the Customer in the 3 (three) months preceding the claim.
9. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement and any matters arising out of or relating to it shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England, with the primary venue in London.
